Official Rules

1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

2. The promotion begins at 8:00 a.m. Eastern Standard Time on June 17, 2008 and ends at 11:59 p.m. Eastern Standard Time on July 15, 2008, and will be held on the Internet at the SceneExchange official website, www.sceneexchange.com.

3. To be eligible, entrants must (i) be 18 years of age or older as of the date of entry, (ii) be legal residents of the 50 United States, or the District of Columbia. Do not proceed further in this site if you are not located in the eligibility area.

4. To enter the promotion: Entrants must fill out all requested information on the registration web form. Limit one entry per person. Potential winner must continue to comply with all terms and conditions of these official rules and winning is contingent upon fulfilling all requirements. Sponsor and its agencies are not responsible for lost, late, incomplete, or misdirected entries. An entrant is not a winner even if they are the randomly selected winner, until the entrant’s eligibility and entrant has been notified that verification is complete. Potentially winning entries will be verified by Sponsor, whose decisions to the administration and operation of the sweepstakes and the selection and validation of potential winner are final and binding in all matters related to the promotion.

5. This promotion is subject to all federal, state and local laws and regulations of the United States.

6. The sponsor of this promotion is Scene Genesis, Inc. (the “Sponsor"). Employees of Sponsor, PDA, Inc., and their respective agents, successors, and assignees, advertising agencies, affiliates, subsidiaries, and/or promotional partners and members of their immediate families and/or with whom such employees are domiciled are not eligible to enter or win.

7. Two Grand Prize Winners will receive a $!00 Amazon.com Gift certificate, based on a random draw of all registered entrants on July 15th, 2008. Odds of winning Grand Prize are 1:500. Prizes and Free Gifts may not be redeemed for cash or combined with other offers. All taxes and any expenses in connection with the receipt and use of prize are the sole responsibility of the winner/recipient, and winner must authorize the deduction of such taxes, if any, from the prize(s) to the extent required by law. No cash substitutions, transfer or assignment of prize allowed, except by Sponsor, who reserves the right to substitute prizes or free gifts of equal or greater value.

8. Entries that are lost, late, misdirected, garbled, mutilated, illegible, or incompletely received, for any reason, including by reason of hardware, software, browser or network failure, malfunction, congestion or incompatibility at Sponsor’s website or elsewhere, will not be eligible, and Sponsor is not responsible for any technical problems, malfunctions of electronic equipment, computer hardware or software. Proof of sending or making an attempt to register will not be deemed to be proof of receipt by the Sponsor. Sponsor, at its sole discretion, reserves the right to disqualify any person tampering with the electronic equipment, the entry process or otherwise in violation of the rules. Sponsor reserves the right to cancel, modify, suspend or terminate this promotion in the event that it becomes infected by a computer virus or is otherwise technically impaired or if the promotion cannot be conducted as planned by causes beyond the control of the Sponsor. In the event of early termination, the winners of the Grand Prize will be randomly selected from all eligible entries received as of the time of termination of the promotion.

9. Acceptance of a prize constitutes consent and agreement to use by Sponsor and its designees of the winner's name and likeness for editorial, advertising, publicity purposes and television broadcast purposes, without further compensation, except where prohibited. By entering and/or by accepting a prize, you agree to release and hold harmless Sponsor, its affiliates, subsidiaries, and their directors, officers, employees and agents from any and all liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with this promotion, the awarding, receipt, use and/or misuse of any prize or Free Gift, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participation or use of any prize.

10. Winners may be required to sign an affidavit of eligibility, a publicity release (where permitted by law), and a liability release which must be signed and returned within twenty-four hours of the Prize Notification or the prize will be forfeited and an alternate winner will be chosen. By entering and/or by accepting the prize, you agree (where permitted by law) to have your name listed on the SGI web site. Sponsor reserves the right to disqualify any entrant found tampering with the entry process or with the operation of the promotion or who violates these Official Rules. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION OF SUCH ENTRANT. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

11. This promotion is governed by the laws of the United States with venue in Monroe County in the State of New York. The formation, interpretation, and performance of this agreement shall be governed by the laws of the State of New York, applicable to agreements made and to be performed by New York residents entirely within the state of New York, without regard to its conflicts of law provisions.

12. By entering, you agree to be bound by these rules and the decisions of the judges. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this promotion but in no event shall costs include attorneys’ fees; and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
